Welcome to Expofood Technologies Private Limited (“Prosessed”, “we”, “us” or “our”).

These Terms and Conditions (“Terms”) govern your access to and use of the Prosessed website at https://www.prosessed.ai/, mobile applications and related services (collectively, the “Platform”).

By accessing or using the Platform, creating an account, requesting a quotation, placing an order or making a payment through the Platform, you agree to these Terms. If you do not agree with these Terms, please do not use the Platform.

1. ABOUT PROSESSED

Prosessed provides a technology-enabled sourcing and manufacturing platform that helps brands and businesses discover products, connect with suppliers and manufacturers, develop products, obtain quotations, manage samples and coordinate manufacturing and supply-chain activities.

Depending on the transaction, Prosessed may facilitate communication, quotations, payments, sourcing, production coordination and related services.

Unless expressly stated otherwise, Prosessed is not the manufacturer or seller of products supplied by third-party suppliers. Products and manufacturing services may be provided by independent suppliers or manufacturers.

2. ELIGIBILITY

You must be legally capable of entering into a binding contract under applicable law to use the Platform.

If you use the Platform on behalf of a company, partnership or other organisation, you confirm that you have the authority to bind that organisation to these Terms.

3. REGISTRATION AND ACCOUNT

Certain features of the Platform may require you to create an account.

You may be required to provide information such as:

  • Name and contact details;
  • Company name and GSTIN, where applicable;
  • Business and billing information;
  • Delivery or warehouse information; and
  • Other information reasonably required to provide the Services.

You agree that the information provided by you will be accurate and kept updated.

You are responsible for keeping your account credentials confidential and for activities carried out through your account. Please notify us promptly if you believe that your account has been used without your permission.

4. OUR SERVICES

Through the Platform, you may be able to:

  • Discover products and manufacturing opportunities;
  • Submit product requirements and specifications;
  • Request quotations from suppliers;
  • Review and approve samples;
  • Negotiate commercial terms;
  • Place orders;
  • Make payments;
  • Coordinate production and delivery; and
  • Access other sourcing and supply-chain services offered by Prosessed from time to time.

The availability of any particular service or supplier is not guaranteed.

We may add, modify, suspend or discontinue any feature or service at any time.

5. SUPPLIERS AND MANUFACTURERS

Prosessed may introduce or connect you with third-party suppliers and manufacturers.

Supplier quotations, product specifications, production capabilities, manufacturing timelines and other information may be provided by the relevant supplier.

You are responsible for reviewing and approving the relevant commercial terms, specifications, samples and other requirements before proceeding with an order.

Unless expressly agreed otherwise in writing, Prosessed does not guarantee:

  • The continued availability of a supplier;
  • A supplier’s manufacturing capacity;
  • Exact production or delivery timelines;
  • The commercial terms offered by a supplier; or
  • The performance of a third-party supplier.

We may assist in resolving operational issues between you and a supplier, but Prosessed is not responsible for contractual disputes between you and a supplier except to the extent caused by Prosessed’s own acts or omissions.

6. PRODUCT REQUIREMENTS AND SAMPLES

You are responsible for providing accurate product specifications, designs, quantities, packaging requirements, regulatory requirements and other information required for production.

Where samples are provided, you are responsible for reviewing and approving the sample before production.

Once a sample or product specification has been approved by you, production may proceed based on that approval.

Any changes requested after approval may result in additional costs or changes to the production timeline.

7. QUOTATIONS AND ORDERS

Quotations provided through the Platform may include product costs, manufacturing charges, shipping charges, taxes or other applicable charges.

Unless expressly stated otherwise, a quotation is subject to availability and may change before an order is confirmed.

An order becomes binding only when it is accepted or confirmed by Prosessed and/or the relevant supplier, as applicable.

We reserve the right to refuse or cancel an order where there is an error in pricing, availability, product information, payment or for other legitimate reasons.

8. PRICING AND TAXES

Prices displayed on the Platform will be stated in the applicable currency.

Where domestic pricing is offered in India, prices will be displayed in Indian Rupees (INR).

Applicable GST and other taxes, duties, shipping charges or other charges may be added to the price where applicable.

For international transactions, the amount charged may be affected by currency conversion, bank charges, payment processing charges, intermediary-bank charges, taxes, customs duties or other applicable charges.

Unless specifically stated otherwise, such charges are the responsibility of the customer.

9. PAYMENTS

Payments may be made through the payment methods made available on the Platform.

Payments may be processed through third-party payment gateways or payment service providers. By making a payment, you agree to comply with the applicable terms of the relevant payment provider.

Prosessed does not store complete card details such as card numbers, CVV or other sensitive payment credentials except where permitted by applicable law and payment-network requirements.

You authorise Prosessed and/or its payment service providers to process payments for the amounts confirmed at the time of the transaction.

We may refuse, suspend or cancel a transaction where we reasonably suspect fraud, unauthorised activity, violation of law or violation of these Terms.

10. INTERNATIONAL PAYMENTS

Where international payments are enabled, transactions may be subject to applicable Indian laws, foreign-exchange regulations, banking requirements, taxes, customs requirements and restrictions applicable to cross-border transactions.

The customer is responsible for providing accurate information required for processing an international transaction.

The final amount received or charged may differ due to foreign-exchange conversion rates, bank charges, intermediary charges, taxes or other charges imposed by banks or payment service providers.

Prosessed may request additional information or documentation where required for processing an international transaction.

11. CANCELLATION POLICY

Cancellation of an order will depend on the stage of the order.

A customer may request cancellation by contacting Prosessed through the contact details provided on the Platform.

Where production, procurement, customisation, sampling, shipping or other work has already commenced, cancellation may not be possible or may be subject to deductions for costs already incurred.

Orders for customised or made-to-order products may generally not be cancellable once production has commenced.

Any cancellation and applicable refund will be handled in accordance with the Cancellation and Refund Policy published on the Platform.

12. REFUND POLICY

Refunds, where applicable, will be processed in accordance with the Cancellation and Refund Policy published on the Platform.

Where a refund is approved, it will generally be made through the original payment method used for the transaction, unless otherwise permitted or required by applicable law.

The time taken for the refund to appear in your account may depend on your bank, card issuer or payment service provider.

Certain amounts may be non-refundable where they relate to work, procurement, customisation, sampling, production, shipping or other costs already incurred, as communicated at the time of the transaction.

13. FAILED, DUPLICATE OR REVERSED PAYMENTS

If your account is debited but the transaction is shown as unsuccessful or failed, please contact us with the transaction reference.

We will assist in verifying the transaction and, where applicable, initiate or facilitate the refund or reversal in accordance with applicable payment-system timelines.

If you believe that you have been charged twice for the same transaction, please contact us with the relevant transaction details.

Refund or reversal timelines may depend on the payment gateway, bank, card network or other payment provider involved.

14. DELIVERY AND SHIPPING

Delivery timelines provided on the Platform or by Prosessed are estimates unless expressly confirmed as guaranteed.

Delivery may be affected by production schedules, supplier delays, transportation issues, customs, weather, government restrictions or other circumstances beyond our reasonable control.

For international shipments, the customer may be responsible for customs duties, import taxes, clearance charges and other charges applicable in the destination country.

15. PRODUCT QUALITY

We may facilitate quality checks or inspections where such services are agreed with you.

Unless expressly agreed otherwise, Prosessed does not provide a general warranty for products manufactured by third-party suppliers.

Where a product issue is identified, you should notify us within a reasonable period after receiving the product, together with relevant photographs, documents or other evidence where requested.

We may assist in coordinating resolution with the relevant supplier.

16. USER RESPONSIBILITIES

You agree to:

  • Provide accurate and complete information;
  • Use the Platform only for lawful purposes;
  • Provide accurate product and delivery requirements;
  • Review and approve samples and specifications carefully;
  • Make payments using authorised payment methods;
  • Keep your account credentials secure; and
  • Comply with applicable laws and regulations.

You must not use the Platform for fraudulent, unlawful or abusive activities.

17. PROHIBITED ACTIVITIES

You must not:

  • Use the Platform for any unlawful purpose;
  • Provide false or misleading information;
  • Attempt to gain unauthorised access to the Platform;
  • Interfere with the operation or security of the Platform;
  • Upload content that infringes another person’s rights;
  • Use the Platform to transmit malware, spam or harmful material;
  • Copy, reproduce, resell or commercially exploit the Platform without our written permission; or
  • Use the Platform to conduct fraudulent or unauthorised transactions.

18. INTELLECTUAL PROPERTY

All intellectual property relating to the Platform, including its software, design, branding, trademarks, logos, content and materials, belongs to Prosessed or its licensors.

You may use the Platform only for its intended business purpose.

You retain ownership of intellectual property that you independently provide to Prosessed, including your brand materials, product designs, specifications and other proprietary information.

You grant Prosessed a limited right to use such information only as reasonably necessary to provide the Services, process your orders and communicate with suppliers or service providers involved in your transaction.

19. CONFIDENTIALITY

We will take reasonable steps to protect confidential business information shared with us in connection with the Services.

You must also keep confidential any non-public information, pricing, supplier information, business information or other confidential information provided to you through the Platform.

This obligation does not apply to information that is publicly available, independently developed, already lawfully known or required to be disclosed by law.

20. THIRD-PARTY SERVICES

The Platform may use third-party services, including payment gateways, logistics providers, communication services, hosting providers and other service providers.

Your use of such services may also be subject to the terms and policies of the relevant third party.

Prosessed is not responsible for the independent acts or omissions of third-party service providers.

21. PRIVACY

Your use of the Platform is also governed by our Privacy Policy, which explains how we collect, use, store and protect personal information.

By using the Platform, you acknowledge and agree to the processing of information in accordance with the Privacy Policy.

22. COOKIES

We may use cookies and similar technologies to operate, secure and improve the Platform.

You may control cookies through your browser or device settings. Disabling certain cookies may affect some Platform features.

23. SUSPENSION AND TERMINATION

We may suspend or terminate your account or access to the Platform if:

  • You breach these Terms;
  • You provide false or misleading information;
  • Your account is involved in fraudulent or unlawful activity;
  • Payment obligations are not fulfilled; or
  • We reasonably believe that continued access may harm Prosessed, another user or a third party.

You may stop using the Platform at any time.

Termination will not affect rights or obligations that arose before termination.

24. DISCLAIMER

The Platform and Services are provided on an “as is” and “as available” basis, except where expressly stated otherwise.

We do not guarantee that the Platform will always be available, uninterrupted or error-free.

We do not guarantee the performance of independent suppliers, manufacturers, logistics providers, banks or payment service providers.

Nothing in these Terms excludes any liability that cannot legally be excluded under applicable law.

25. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, Prosessed will not be liable for indirect, incidental, special or consequential losses, including loss of profits, business, revenue, goodwill or anticipated savings arising from your use of the Platform or Services.

Prosessed’s total liability arising from a particular transaction will, to the extent permitted by law, be limited to the amount actually paid by you to Prosessed for the relevant Service giving rise to the claim.

This limitation will not apply to liability that cannot legally be limited or excluded.

26. INDEMNITY

You agree to indemnify and hold Prosessed and its directors, employees and representatives harmless from claims, losses, damages and reasonable expenses arising from:

  • Your breach of these Terms;
  • Your unlawful use of the Platform;
  • Your violation of a third party’s rights; or
  • Information or materials provided by you that result in a third-party claim.

27. FORCE MAJEURE

Prosessed will not be responsible for delay or failure caused by circumstances beyond its reasonable control, including natural disasters, war, strikes, government restrictions, internet or telecommunications failures, transportation disruptions, supplier failures, epidemics, payment-system failures or other similar events.

We will make reasonable efforts to review and respond to complaints within a reasonable period.

29. GOVERNING LAW

These Terms are governed by the laws of India.

Subject to the dispute-resolution provisions below, courts having jurisdiction in Bengaluru, Karnataka, India will have jurisdiction over matters arising from these Terms.

30. DISPUTE RESOLUTION

We encourage you to contact us first to resolve any dispute or concern.

If a dispute cannot be resolved amicably, it will be referred to arbitration in accordance with the Arbitration and Conciliation Act, 1996, as amended from time to time.

The seat and venue of arbitration will be Bengaluru, Karnataka, India.

The arbitration will be conducted in English by a sole arbitrator mutually appointed by the parties. If the parties cannot agree on the arbitrator, the appointment will be made in accordance with applicable law.

31. CHANGES TO THESE TERMS

We may update these Terms from time to time.

The updated Terms will be published on the Platform with the revised “Last Updated” date.

Your continued use of the Platform after the updated Terms are published constitutes acceptance of the revised Terms.

32. GENERAL

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue to apply.

Our failure to enforce any provision of these Terms will not constitute a waiver of that provision.

You may not transfer or assign your rights or obligations under these Terms without our prior written consent.

These Terms, together with the Privacy Policy and other policies published on the Platform, constitute the agreement governing your use of the Platform.
